Terms & Conditions

Zenoel is a SaaS-based business management platform designed for any car service related business — including car wash centres, car spas, car PPF studios, detailing workshops, car repair centres, and other automotive service providers. The Platform enables businesses to manage appointments, customers, team members, service packages, invoicing, billing, expense tracking, and business analytics from a single application.

These Terms, together with our Privacy Policy and any additional terms applicable to specific features or services, constitute the entire agreement between you and Zenoel with respect to your use of the Platform. In the event of any conflict between these Terms and any feature-specific terms, the feature-specific terms shall prevail for that feature alone.

The following definitions apply throughout these Terms:

Access to the Zenoel Platform requires a valid subscription. By subscribing, you agree to provide accurate registration details and to keep them up to date at all times.

Subscription Plans

Zenoel offers subscription plans of varying durations (e.g., monthly, quarterly, annual). The features available to you depend on the plan you select. Details of current plans are available on our website at zenoel.in.

Auto-Renewal

Unless you notify us otherwise, your subscription will automatically renew at the end of each Subscription Period. The applicable Subscription Fee will be charged to your registered payment method. If you wish to cancel auto-renewal, you must inform us at least 30 days before your renewal date. Failure to do so will be treated as authorization to charge the renewal fee.

Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that takes place under your account
• Notifying us immediately at support@zenoel.in of any unauthorized access or security breach
• Ensuring your Team Members use the Platform in compliance with these Terms

Account Suspension or Termination by Us

We reserve the right to suspend, downgrade, or terminate your account — with or without notice — if we reasonably believe your account is being used in violation of these Terms, in breach of applicable law, or in a manner that may harm the Platform, other users, or third parties. We may, at our discretion, restore access following any suspension.

To access and use the Platform, you must:

• Be at least 18 years of age
• Be legally capable of entering into binding contracts under the Indian Contract Act, 1872
• Be a business entity or an authorized representative of a business entity registered or operating in India
• Use the Platform exclusively for commercial or business purposes — personal use is not permitted

"Business entity" includes any sole proprietorship, partnership firm, limited liability partnership, private or public limited company, trust, or any other legal entity recognized under Indian law.

We reserve the right to reject any registration or deny access to the Platform without providing reasons.

To use the Services, you must register and create an account on the Platform. During registration you will be required to provide, among other things:

• Business name, address, city, state, and PIN code
• Owner / representative name, mobile number, and email address
• GSTIN, PAN, and Business Registration Number (where applicable)
• Bank account details for payment reconciliation (if provided)

You represent and warrant that all information provided during registration is true, accurate, current, and complete. You agree to promptly update your account information if any details change. If you provide information that is false, misleading, or incomplete, we reserve the right to suspend or terminate your account immediately.

We may, directly or through a third-party provider, verify the information you provide and may request additional documents or proof for this purpose. By registering, you consent to such verification.

When you access the Platform, you consent to receiving communications from us via email, SMS, WhatsApp, push notifications, or any other mode of communication, for transactional, service-related, and promotional purposes.

In the course of using the Platform, you will submit business and customer data, including booking records, customer profiles, vehicle details, invoice data, expense records, and other information (collectively, "User Content").

You represent, warrant, and agree that:

• All User Content you submit is true, accurate, current, and complete
• You will promptly update any User Content that becomes inaccurate or incomplete
• You have obtained all necessary consents, permissions, and authorizations to submit any third-party data (including your customers' personal information) to the Platform
• Your User Content does not violate any intellectual property rights, privacy rights, or applicable laws of any third party
• You will provide additional information or documentation as we may reasonably request to continue operating your account

You retain ownership of your User Content. By submitting User Content to the Platform, you grant Zenoel a limited, non-exclusive licence to host, store, process, and use your User Content solely for the purpose of providing the Services to you. We will not use your User Content for any other purpose.

By using the Platform, you agree to:

• Use the Platform solely for lawful business purposes and in compliance with all applicable laws and regulations
• Ensure your Authorised Users are made aware of and comply with these Terms
• Maintain the minimum device, operating system, and network requirements necessary to use the Platform
• Not attempt to resell, sublicense, or otherwise make the Platform available to third parties without our prior written consent
• Not use the Platform to compete with Zenoel or to develop a competing product
• Not engage in any activity that could harm, overburden, or impair the Platform or its infrastructure
• Keep your login credentials confidential and not share them with unauthorized individuals
• Immediately report any suspected security incidents or unauthorized use to support@zenoel.in
• Not undertake any action that undermines the integrity of Zenoel's ratings, reviews, or feedback systems

Feedback & Reviews

If you leave feedback, reviews, or ratings on or about the Platform, you agree to do so in good faith and with careful, honest judgment. We reserve the right to remove any feedback that is abusive, defamatory, misleading, or in violation of these Terms, and to limit or suspend the account of any user who misuses the feedback system. Cloud Infrastructure & Account Migration

Zenoel may, from time to time, migrate your account and data to a different or updated cloud hosting facility (including a change in server location) to improve performance, security, or reliability. You agree not to mask or obscure your IP address at the time of registration, as this may interfere with our verification and hosting processes. We will make reasonable efforts to notify you of any material migration that may affect your access to the Platform.

You must not, and must ensure your Authorised Users do not:

• Copy, reproduce, download, distribute, or resell the Platform, Services, or any content within the Platform
• Attempt to reverse engineer, decompile, disassemble, or derive the source code of the Platform
• Use the Platform to upload, transmit, or store malicious code, viruses, worms, or any harmful software
• Attempt to gain unauthorized access to any part of the Platform or its underlying systems or networks
• Use automated tools (bots, spiders, scrapers) to extract data from the Platform
• Host, transmit, or share content that is unlawful, defamatory, obscene, fraudulent, or infringes on any third party's rights
• Create false identities or impersonate any person or entity on the Platform
• Use the Platform for any purpose other than your own commercial business operations
• Remove, alter, or obscure any proprietary notices, watermarks, or branding within the Platform
• Use the Services in a manner that violates any local, state, national, or international law or regulation

Any violation of the above restrictions may result in immediate suspension or termination of your account and may expose you to civil or criminal liability.

Zenoel may, at its discretion, offer a free trial period of up to 30 days for new Account Holders. The free trial gives you access to the Platform's core features for evaluation purposes.

Please note the following conditions of the free trial:

• The free trial ends on the earlier of: (a) 30 days from activation, (b) the start of a paid subscription, or (c) earlier termination by Zenoel at its discretion
• Any data you enter into the Platform during the free trial will be permanently deleted if you do not purchase a subscription before the trial ends, unless you export your data beforehand
• The Platform is provided during the free trial on an "as-is" basis, without any warranty, support commitment, or service level guarantee
• Zenoel reserves the right to modify or discontinue the free trial offering at any time without notice

Subscription Fees

Access to the paid features of the Platform requires payment of a Subscription Fee. Fees are set in accordance with the subscription plan you select and are displayed on our pricing page at zenoel.in. We reserve the right to revise Subscription Fees at any time, subject to providing reasonable notice to existing subscribers.

Payment Processing

Payments are processed through Razorpay, our third-party payment gateway. By making a payment, you agree to Razorpay's terms of service. Zenoel does not store your full card or UPI credentials. All payment data is handled securely by Razorpay in accordance with applicable PCI-DSS standards.

Non-Refundable

All Subscription Fees paid are non-refundable, except where explicitly required by applicable Indian law. No refunds will be issued for partial subscription periods, unused features, or early termination of your account.

Failed Payments

If a payment fails, your access to the Platform may be restricted or suspended until the outstanding amount is cleared. We are not liable for any loss or disruption arising from a failed or delayed payment on your part.

Taxes

All Subscription Fees are exclusive of applicable taxes (including GST). You are responsible for paying all taxes applicable to your subscription in your jurisdiction. Zenoel will issue GST-compliant subscription invoices for all paid subscriptions.

Zenoel and its licensors retain all right, title, and interest in and to the Platform, including all software, designs, trademarks, logos, content, documentation, and underlying technology (collectively, "Zenoel IP"). Nothing in these Terms transfers any ownership of Zenoel IP to you.

The "Zenoel" name, logo, and all associated branding are the exclusive property of the Company. Unauthorized copying, modification, reproduction, or use of our brand assets is strictly prohibited without our prior written consent.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business operations during your active Subscription Period.

You are solely responsible for any User Content you submit to the Platform and shall indemnify Zenoel against any claim arising from such content.

The Platform integrates with third-party services and tools, including payment processing (Razorpay), cloud hosting providers, email and SMS delivery services, and push notification platforms ("Third-Party Services").

Your use of any Third-Party Services integrated with the Platform is governed by that third party's own terms of service and privacy policy. You are responsible for reading and accepting those terms before using such integrations.

Zenoel is not liable for any loss, damage, or disruption arising from your use of Third-Party Services, including failures, outages, or changes in their service offerings. We reserve the right to add, modify, or remove Third-Party integrations at any time without notice.

The Platform may also contain links to external websites. Zenoel is not responsible for the content, privacy practices, or availability of those external sites.

Without limiting the above, Zenoel does not warrant that:

• The Platform will operate uninterrupted, error-free, or without defects at all times
• The Platform will be compatible with all devices, operating systems, or third-party software used by you
• All errors or bugs will be corrected within any specific timeframe
• The Platform will meet your specific business requirements or expectations
• Data stored on the Platform will be free from loss, corruption, or unauthorized access in all circumstances

You acknowledge that the Services are provided on a best-efforts basis and that temporary interruptions may occur due to maintenance, updates, or circumstances beyond our control.

To the maximum extent permitted by applicable law, Zenoel, its directors, employees, agents, and affiliates shall not be liable for any:

• Indirect, incidental, consequential, special, exemplary, or punitive damages
• Loss of profits, revenue, business, data, goodwill, or anticipated savings
• Damages arising from unauthorized access to or alteration of your data
• Damages resulting from acts or omissions of third-party service providers
• Losses arising from force majeure events including internet outages, power failures, natural disasters, pandemics, government actions, or any other events beyond our reasonable control

In any case, Zenoel's total aggregate liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the total Subscription Fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Zenoel and its directors, officers, employees, agents, and affiliates from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your access to or use of the Platform in breach of these Terms
• Any User Content submitted by you or your Authorised Users
• Your violation of any applicable law or regulation
• Your violation of any rights of a third party, including intellectual property rights or privacy rights
• Any dispute between you and your customers, employees, or team members arising from your use of the Platform

Zenoel reserves the right to assume exclusive control of the defence of any matter otherwise subject to your indemnification, in which case you agree to cooperate with us in asserting any available defences.

Termination by You

You may terminate your relationship with Zenoel at any time by discontinuing use of the Platform and closing your account. Please note that any Subscription Fees already paid will not be refunded upon termination.

Termination by Us

We may suspend or terminate your account, with or without notice, if:

• You breach any provision of these Terms, our Privacy Policy, or any other applicable Zenoel policy
• We are legally required to do so under applicable law
• We elect to discontinue the Platform or any specific Service, in whole or in part
• Your account remains inactive and unpaid for a continuous period of 90 days
• We have reasonable grounds to believe your account is being used fraudulently or for unlawful purposes

Investigation & Cooperation with Authorities

Zenoel does not pre-screen User Content submitted to the Platform and is under no obligation to monitor it. However, we may, at our discretion or as required by applicable law, review and remove any content found to be in violation of these Terms, without prior notice.

We reserve the right to cooperate with governmental authorities, law enforcement, or any third party alleging a claim against you, in connection with any investigation of suspected unlawful activity. We may disclose your identity and account information where required by a valid legal process such as a subpoena, court order, or government request.

Consequences of Termination

Upon termination of your account:

• Your access to the Platform will cease immediately
• All User Content associated with your account will be scheduled for deletion, subject to our legal data retention obligations (see our Privacy Policy, Section 12)
• We will provide you reasonable opportunity to export your data prior to deletion, where practicable
• Any outstanding amounts payable by you will become immediately due and payable
• Termination does not affect any rights or liabilities that accrued prior to the termination date

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Digital Personal Data Protection Act, 2023 (to the extent applicable and in force).

Any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts at [Your City], [Your State], India.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

If you have any questions, concerns, or complaints regarding these Terms or the Platform, please write to us first at info@zenoel.com. We will endeavour to respond promptly.

For unresolved complaints, you may escalate to our designated Grievance Officer. The Grievance Officer will acknowledge your complaint within 72 hours and resolve it within 15 days of receipt.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zenoel with respect to the Platform and supersede all prior agreements and understandings.
• No Waiver: Our failure to enforce any provision of these Terms at any time shall not be construed as a waiver of that provision or our right to enforce it in the future.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Assignment: You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. Zenoel may freely assign its rights and obligations.
• Force Majeure: Zenoel shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including internet outages, power failures, natural disasters, epidemics, pandemics, government orders, or acts of God.
• Notices: All legal notices to Zenoel must be sent in writing to info@zenoel.com. Notices from Zenoel to you will be sent to the email address registered to your account.
• Relationship: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Zenoel.
